Legal

• Work on all types of day-to-day legal contracts relating to the business, and ensure to protect the best interest of the company at all times.

• Review draft agreements received from third parties and provide comments / feedback on the same from legal point of view.

• Provide timely advice on all legal matters.

• Develop templates of all types of legal documentation carrying low to medium risk, required for business in the relevant countries in which the company operates, modifying them as necessary to take account of different legal requirements.

• Assist in handling of legal actions of all types filed by and against organization, and liaising with external legal Counsel for such purpose, briefing / supervising / managing external Counsel, reviewing all the memoranda prepared by external Counsel and providing feedback.

• Review and update of monthly litigation report and other reports as required.

• Participate in negotiations, preparation of legal documents and contracts (e.g. NDAs, SPAs, MOUs, JV Agreements, etc.) with outside parties along with relevant line managers for concluding commercial deals relating to Business Development.

• Participate in negotiations with outside parties along with relevant internal clients from different departments for concluding commercial deals for organization.

• Attend internal meetings with operating managers to determine the scope of legal service required.

• Prepare legal notices and replies.

• Prepare legal opinions on issues that affect the business operations.

• Monitor and report on relevant legal developments within the UAE and in the relevant countries were organization operates or intends to operate.

• Undertake legal research and due diligence

• Undertake additional legal tasks, as required, to support in achieving its business plan.

• Ensure compliance with the Global and local Code of Conduct, Departmental policies and RHQ Policies and Procedures at all times.

Compliance:

• Managing and executing the Compliance Program

• Promoting, facilitating and monitoring compliance in UAE

• Acting as an advisor to the business on Compliance

• Reporting to the management on compliance matters

• Monitoring and tracking all compliance related findings and issues and work with the business to

resolve

• Monitoring, communicating and coordinating the implementation of any new regulatory

developments

• Assessing and informing the business regarding compliance related issues

• Updating and maintaining Compliance policies, procedures, materials and manuals

• Maintaining a Compliance education program; delivering education programs as required

• Conducting compliance risk assessments of changes in legislation

• Communicating with HQ, RHQ Compliance.

• Preparing Compliance reports
